Terms of Service

By accessing or using COI Chase(the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the Service.

COI Chase helps contractors and property managers collect, organize, and track vendor compliance documents. The Service includes document upload portals, dashboards, reminders, exports, and AI-assisted document review.

Not legal or insurance advice. COI Chase is a workflow tool only. We do not guarantee that any vendor meets legal, contractual, or insurance requirements. You are solely responsible for compliance decisions and job-site readiness.

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and using the Service for lawful business purposes.

When you invite vendors via magic links, you are responsible for obtaining any consent required to collect and process their information. You represent that you have a legitimate business purpose for requesting documents and that uploaded content does not violate law or third-party rights.

Vendors upload at their own discretion. We are not party to your contracts with vendors or subcontractors.

Free plan: limited features (e.g., vendor count caps) as described on our pricing page.

Premium plan: billed monthly (currently $49/month unless otherwise stated at checkout) through Paddle.com, our Merchant of Record. Paddle handles payment processing, tax collection where applicable, and receipts. Subscriptions renew automatically until canceled.

Cancel anytime via the billing portal in your dashboard, through Paddle's customer portal, or by contacting info@coichase.com. Cancellation stops future charges; access continues through the end of the paid period unless otherwise stated. Refunds are governed by our Refund Policy.

We may change pricing with reasonable notice. Continued use after a price change constitutes acceptance for subsequent billing periods.

You agree not to:

• Use the Service for unlawful, fraudulent, or abusive purposes
• Upload malware, unlawful content, or documents you lack rights to share
• Attempt to breach security, scrape data, or overload our systems
• Resell or sublicense the Service without written permission
• Misrepresent AI audit results as a guarantee of compliance

We may suspend or terminate access for violations.

We own the Service, software, branding, and documentation. You retain ownership of documents and data you upload. You grant us a limited license to host, process, display, and transmit your content solely to operate and improve the Service.

We implement reasonable safeguards for stored documents. You are responsible for controlling access to magic links, exports, and workspace invites within your organization.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR FULLY ACCURATE AI EXTRACTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COI CHASE AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, limits apply to the fullest extent permitted.

You agree to indemnify and hold harmless COI Chase and its operators from claims arising out of your use of the Service, your uploaded content, your vendor relationships, or your violation of these Terms or applicable law.

You may stop using the Service at any time. We may suspend or terminate access for breach, non-payment, or operational reasons. Upon termination, your right to use the Service ends. Sections that by nature should survive (e.g., disclaimers, liability limits, indemnity) will survive.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law requires otherwise. You may also have mandatory consumer protections in your home jurisdiction.

We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance.
